IMPORTANT DISCLAIMER: These General Terms & Conditions outline the standard scope and nature of our engagement. These terms are for general information only. A formal, detailed contract will be prepared and signed by both parties upon the award and final scope definition of any project or service allocated to Quality Link.
Consultant (Quality Link) will provide independent third-party inspection, verification, and advisory services as mutually agreed upon with the Client. These services may include but are not limited to:
Third-party quality inspections during interior turnkey projects.
Final inspection and snag list preparation.
Suggestions and approvals related to vendors, contractors, design details, and materials authentication.
Project management support and monitoring.
Home inspections (for new possession, resale properties, or existing property defect assessment).
Any other related service mutually agreed upon in writing.
The Consultant strictly provides inspection, reporting, and advisory services only.
The Consultant does not execute, supervise, or guarantee the vendor/contractor work.
Responsibility for all execution, rectification, delays, warranties, or quality of workmanship remains solely with the respective vendors and contractors hired by the Client.
Deliverables will include inspection reports, snag lists, approvals/recommendations, or certifications as per the agreed scope.
Reports will be provided in written or digital format only.
Verbal advice or communication via instant messaging (e.g., WhatsApp) does not constitute a formal report or official finding.
The Client shall:
Provide the Consultant with full, timely access to the site, relevant documents, and all vendors.
Ensure all project vendors and contractors fully cooperate with scheduled and unannounced inspections.
Act upon the Consultant’s findings and recommendations in a timely and diligent manner.
Fees shall be calculated as per the attached formal proposal/quotation.
Standard payment terms are Advance unless otherwise specified.
Delays in payment may result in the immediate suspension of services.
The Consultant acts strictly as an independent third-party advisor. The Consultant shall not be liable for:
Delays, defects, or non-performance caused by the Client's contractors or vendors.
Hidden or latent defects not visible or accessible during the scope of the inspection.
Losses or damages caused by actions or omissions of the Client’s own contractors/vendors.
Delays in inspection or reporting caused by reasons beyond the Consultant's control (e.g., lack of site access, vendor unavailability, or force majeure events).
Limitation of Liability: The Consultant's liability under this Agreement is strictly limited to the total professional fees paid by the Client to the Consultant for the services provided.
Both parties agree to keep all project-related information confidential. Reports issued are for the Client's internal use only and cannot be shared externally or publicly without the Consultant’s explicit prior written consent.
The Agreement begins on the signing date and continues until the completion of agreed-upon services.
Either party may terminate the Agreement with [30] days written notice.
The Consultant will be entitled to payment for all work completed up to the termination date.
This Agreement is governed by the laws of India. Any dispute shall first be referred for amicable resolution. Failing an amicable solution, the dispute shall be referred to arbitration in New Delhi.
The Consultant’s inspection team may conduct site visits in two ways, with the mode and timing determined by the Consultant based on inspection requirements:
Unannounced Visits: To ensure genuine, continuous work quality and compliance.
Scheduled Visits with Time Windows: Where advance intimation is provided.
Requirement: Client and vendors must ensure full and unrestricted access to the site, records, and work areas during all visits. Any denial of access or non-cooperation by vendors/contractors will be formally recorded in the inspection report and may affect the Consultant's ability to provide accurate findings.
The Consultant’s engagement and associated fees are calculated based on the project being completed within the agreed-upon original timelines.
If the project extends significantly beyond the agreed completion date due to delays caused by the Client's vendors/contractors or other third parties, additional fees shall apply.
Calculation: Such extra fees will be calculated proportionally based on the extent of the delay relative to the original project duration.
Example: If the inspection engagement was agreed for a 6-month project duration and the project extends to 9 months, the Consultant shall be entitled to an additional fee equivalent to 50% of the originally agreed fee (as the duration extended by 50%).
This ensures the Consultant is fairly compensated for extended monitoring and additional inspections caused by delays beyond their control.
